These Terms and Conditions ("Terms") govern your use of the Flo Campus Marketplace platform ("Flo," "we," "us," or "our"), operated as a campus-based marketplace connecting students within registered school communities. By accessing or using Flo, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Eligibility and Registration
Flo is exclusively available to students, faculty, and staff of registered schools. By creating an account, you represent and warrant that:
- You are affiliated with a school that is registered on the Flo platform.
- All information you provide during registration is truthful, accurate, and complete.
- You are at least 13 years of age, or have obtained parental or guardian consent if under 18 years of age.
- You will maintain the confidentiality of your login credentials and are fully responsible for all activities that occur under your account.
- You will not create multiple accounts, use false identities, or impersonate any other person or entity.
2. User Roles and Responsibilities
Flo provides role-based access with specific responsibilities:
- Buyers may browse products, place orders, make payments, and communicate with sellers regarding their orders.
- Sellers must apply and be approved by their school administrator before listing products. Sellers are responsible for accurate product listings, timely order fulfillment, and maintaining adequate stock levels.
- School Administrators manage their school community including approving sellers, managing categories, and overseeing user conduct within their school.
- Platform Administrators manage the overall platform including schools, payouts, and system-wide settings.
3. Seller Obligations
Sellers on Flo agree to:
- Provide accurate and complete product descriptions, pricing, and availability information.
- Fulfill orders promptly and coordinate delivery or pickup arrangements with buyers in good faith.
- Maintain sufficient inventory to fulfill accepted orders and update stock levels in real time.
- Respond to buyer inquiries and resolve disputes professionally and promptly.
- Comply with all applicable Philippine laws, including consumer protection regulations and tax obligations.
4. Buyer Obligations
Buyers on Flo agree to:
- Provide accurate delivery information and be available to receive orders during agreed pickup times.
- Make timely payments for orders placed through the platform.
- Inspect items upon receipt and report any issues to the seller within a reasonable timeframe.
- Communicate respectfully with sellers and school administrators.
- Not engage in fraudulent activities, including false claims of non-receipt or unauthorized chargebacks.
5. Prohibited Items and Conduct
The following are strictly prohibited on Flo:
- Prohibited Items: Controlled substances, weapons, alcohol, tobacco products, counterfeit goods, stolen items, academic dishonesty services, items that violate Philippine law, or any items that pose health or safety risks.
- Prohibited Conduct: Harassment, threats, hate speech, discrimination, spam, scamming, price manipulation, creating fake reviews, circumventing platform fees, or any activity that undermines platform integrity.
- Account Abuse: Sharing accounts, using automated tools to access the platform, attempting to exploit vulnerabilities, or accessing data you are not authorized to view.
6. Orders and Payments
All transactions on Flo are subject to the following terms:
- Order Placement: Orders are binding commitments to purchase. Placing an order constitutes an offer to buy the listed product at the stated price.
- Payment Processing: Online payments are processed through a PCI-DSS compliant payment processor. Flo does not store your complete card details on its servers.
- Cash on Delivery: COD orders require in-person payment at the time of delivery. Failure to complete COD payment may result in order cancellation and account restrictions.
- Order Timeouts: Online orders that are not paid within 15 minutes of placement are automatically cancelled to free up inventory for other buyers.
- Pricing: All prices are set by individual sellers and are inclusive of applicable taxes unless otherwise stated. Platform service fees are charged to sellers and are not added to buyer prices.
- Currency: All transactions are conducted in Philippine Pesos (₱).
7. Order Cancellations and Refunds
Cancellation and refund policies are as follows:
- Buyer Cancellation: Buyers may cancel pending (unpaid) orders before the seller marks them as processing. Once an order is processing or completed, cancellation is no longer available through the buyer interface.
- Seller Cancellation: Sellers may cancel orders in rare circumstances (e.g., item no longer available). Sellers must notify the buyer and restore stock availability promptly.
- Disputes: Disputes regarding order quality, non-receipt, or other issues should be reported to the school administrator for mediation. Flo is not a party to transactions between buyers and sellers but may assist in dispute resolution.
- Refunds: Refunds for online payments are processed through the original payment method where applicable. Processing times depend on the payment provider and may take 5-10 business days.
8. Seller Payouts
Seller earnings and payouts are subject to the following:
- Earnings: Seller earnings are calculated as the order amount minus applicable platform service fees. Fees are clearly displayed before payout requests.
- Minimum Payout: A minimum balance of ₱50.00 is required to request a payout.
- Payout Processing: Payout requests are processed to the seller's registered bank account via electronic fund transfer. Processing typically takes 1-3 business days.
- Transfer Fees: A flat transfer fee is deducted from each payout to cover electronic fund transfer costs.
- Tax Obligations: Sellers are solely responsible for reporting and remitting any applicable taxes on their earnings to the Bureau of Internal Revenue (BIR).
9. Intellectual Property
The following intellectual property terms apply:
- Platform Content: The Flo platform, including its design, code, logo, and documentation, is owned by Flo and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the platform without explicit written permission.
- User Content: By listing products or uploading images, you grant Flo a non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating the platform.
- Trademark: The "Flo" name and logo are trademarks of Flo Campus Marketplace. Unauthorized use of these marks is prohibited.
10. Limitation of Liability
Flo acts as an intermediary platform connecting buyers and sellers within school communities. We are not a party to transactions between users and do not guarantee the quality, safety, or legality of items listed. To the maximum extent permitted by Philippine law, Flo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the total fees paid by you to Flo in the twelve (12) months preceding the claim.
11. Account Suspension and Termination
We reserve the right to suspend or terminate your account under the following circumstances:
- Violation of these Terms and Conditions or Community Guidelines.
- Fraudulent, abusive, or illegal activity on the platform.
- Failure to meet seller obligations, including repeated order cancellations or non-fulfillment.
- Request by your school administrator or as required by law.
- Prolonged account inactivity exceeding 12 months.
Upon termination, you may request deletion of your account and personal data in accordance with our Privacy Policy, subject to legal retention requirements.
12. Dispute Resolution
Any disputes arising from these Terms or your use of Flo shall first be submitted to good-faith mediation through the school administrator. If mediation fails, disputes shall be resolved in accordance with Philippine law, with venue in the appropriate courts of the city where Flo is registered. These Terms are governed by the laws of the Republic of the Philippines.
13. Modifications to Terms
We may modify these Terms from time to time. Material changes will be communicated through the platform or via email. Your continued use of Flo after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
